These Terms of Service ("Terms") are a legal agreement between you and ReacherPro Inc. ("ReacherPro," "we," "us," or "our"). They govern your use of reacherpro.com and the ReacherPro platform (together, the "Service").
By creating an account, clicking "I agree," or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a company, you confirm that you have authority to bind that company. In that case, "you" means the company. If you do not agree, do not use the Service.
1Definitions
“Customer Data” means all data you or your Authorized Users upload to, connect to, or create in the Service. This includes prospect lists, contact details, message templates, campaign content, and data imported from connected accounts.
“Authorized Users” means your employees or contractors whom you allow to use the Service under your account.
“Connected Accounts” means third-party accounts you link to the Service, such as email accounts and LinkedIn accounts.
“Third-Party Platforms” means services not operated by ReacherPro, including LinkedIn, Google, and Microsoft.
“Subscription” means the paid plan you select, including its features, limits, and billing period.
2Eligibility and accounts
The Service is for business use only. You must be at least 18 years old and able to form a binding contract.
You must give accurate registration information and keep it up to date.
You are responsible for keeping login credentials secure and for all activity under your account, including activity by your Authorized Users. Tell us immediately at [email protected] if you suspect unauthorized access.
Each Authorized User must have their own login. Logins may not be shared.
You may not use the Service if you are located in a country subject to comprehensive U.S. sanctions, or if you are listed on a U.S. government restricted-party list.
3The Service
ReacherPro provides tools to automate sales outreach across email and LinkedIn. These include campaign sequencing, AI-assisted message writing, reply tracking, and prospect management. We may add, change, or remove features over time. If we remove a core feature you are paying for, we will give you reasonable notice.
4Third-party platforms and connected accounts
You authorize access. When you connect an email or LinkedIn account, you allow ReacherPro to access and act through that account on your behalf, as needed to run the campaigns you configure.
Platform rules apply to you. Your use of each Third-Party Platform is governed by that platform's own terms, such as LinkedIn's User Agreement and Google's or Microsoft's terms. You are responsible for following those terms. Some Third-Party Platforms restrict automated activity.
Account restrictions are a risk you accept. Third-Party Platforms may limit, restrict, suspend, or ban accounts at their own discretion, including accounts that use automation tools. ReacherPro does not control these decisions. ReacherPro is not responsible for any restriction, suspension, or loss of a Connected Account, or for any resulting loss of data, contacts, or business.
Deliverability is not guaranteed. Email providers decide whether messages reach the inbox. We do not guarantee delivery rates, open rates, reply rates, meetings booked, or any sales results.
No affiliation. ReacherPro is not affiliated with, endorsed by, or sponsored by LinkedIn, Google, Microsoft, or any other Third-Party Platform.
Availability of integrations. If a Third-Party Platform changes or ends its services or API, some features may stop working. This does not entitle you to a refund unless required by law.
5Your responsibilities for outreach
You are solely responsible for your outreach and the content you send through the Service. You agree that:
- You have a lawful basis to collect, store, and contact every prospect you add to the Service.
- Your messages comply with all applicable laws. This includes anti-spam and marketing laws such as CAN-SPAM, CASL, and the EU/UK ePrivacy rules, and data protection laws such as GDPR, UK GDPR, and CCPA.
- You will honor opt-out and unsubscribe requests promptly and include accurate sender information where the law requires it.
- You will not use purchased, rented, or scraped lists in violation of law or Third-Party Platform terms.
- You will review AI-generated content before sending it, and you are responsible for anything sent from your account.
6Acceptable use
You must not use the Service to:
- send spam, bulk unsolicited messages in violation of law, or messages designed to mislead recipients about the sender or purpose;
- send content that is illegal, fraudulent, defamatory, harassing, hateful, sexually explicit, or that infringes others' rights;
- promote scams, phishing, malware, or deceptive "get-rich-quick" schemes;
- impersonate any person or organization;
- contact people who have asked not to be contacted;
- upload viruses or malicious code, or interfere with the Service's security or performance;
- reverse-engineer, copy, resell, or sublicense the Service, or access it to build a competing product;
- scrape or extract data from the Service except through features we provide;
- get around usage limits, rate limits, or security measures.
We may review, block, or remove content, pause campaigns, or suspend accounts that we reasonably believe violate this section.
7Customer Data
You own your data. You keep all rights to your Customer Data. We do not claim ownership of it.
License to us. You give ReacherPro a limited license to host, process, transmit, and display Customer Data only as needed to provide, secure, and support the Service.
Data protection. We process Customer Data as described in our Privacy Policy. Where we process personal data on your behalf, our Privacy Policy applies and forms part of these Terms.
Support access. With your permission, or when needed to fix a technical problem, our team may access your account or Customer Data to help you. We treat any such data as confidential.
Aggregated data. We may use anonymized and aggregated data that does not identify you or any individual to operate, analyze, and improve the Service.
Backups. We take reasonable steps to protect Customer Data, but you are responsible for keeping your own copies of important data.
8AI features
The Service uses artificial intelligence to generate or suggest content. AI output may be inaccurate, incomplete, or unsuitable for your purpose. You are responsible for reviewing and approving it before use. As between you and ReacherPro, you own the output generated for your account, to the extent the law allows. We do not use your Customer Data to train general-purpose AI models.
9Fees, billing, and refunds
Subscriptions. Paid plans are billed in advance on a monthly or annual basis. Fees and plan limits are shown on our pricing page or in your order.
Automatic renewal. Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. You can cancel anytime in your account settings. Cancellation takes effect at the end of the current billing period.
Payment. Payments are processed by Stripe. You authorize us to charge your payment method for all fees due. If a payment fails, we may suspend the Service until it is resolved.
Taxes. Fees do not include taxes. You are responsible for applicable taxes other than taxes on our income.
Price changes. We will give at least 30 days' notice before changing the price of your Subscription. Changes apply from your next renewal.
Free trials. If we offer a free trial, it will convert to a paid Subscription at the end of the trial unless you cancel before it ends.
Refunds. Fees are non-refundable except where required by law.
10Intellectual property
The Service, including its software, design, text, logos, and trademarks, belongs to ReacherPro and its licensors and is protected by intellectual property laws. We give you a limited, non-exclusive, non-transferable right to use the Service during your Subscription, in line with these Terms. All rights not expressly granted remain with ReacherPro.
If you send us suggestions or feedback, we may use them freely without any obligation to you.
11Confidentiality
Each party may receive non-public information from the other, such as product plans, pricing, or Customer Data. Each party will protect the other's confidential information with reasonable care, use it only to perform under these Terms, and not disclose it except to people who need to know it and are bound by similar obligations, or where required by law.
12Suspension and termination
By you. You can stop using the Service and cancel your Subscription at any time.
By us. We may suspend or terminate your access, with notice where reasonably possible, if you breach these Terms, fail to pay, create legal or security risk, or harm the Service or other users. For serious or repeated violations, or where the law requires it, we may act immediately without notice.
Effect of termination. When your account ends, your right to use the Service stops. You can export your Customer Data for 30 days after termination. After that, we delete it within 90 days, as described in our Privacy Policy, except where the law requires us to keep it.
Survival. Sections that by their nature should continue after termination remain in effect. These include sections on fees owed, Customer Data, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law.
13Disclaimers
We will provide the Service with reasonable skill and care. Beyond that, to the maximum extent permitted by law, the Service is provided "as is" and "as available." ReacherPro disclaims all other warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or free of harmful components, or that it will achieve any particular business result.
14Limitation of liability
To the maximum extent permitted by law:
- Neither party will be liable for any indirect, incidental, special, consequential, or punitive damages. This includes lost profits, lost revenue, lost data, loss of business opportunities, or loss of or restrictions on Connected Accounts, even if the party was told such damages were possible.
- ReacherPro's total liability for all claims relating to the Service or these Terms will not exceed the amount you paid to ReacherPro in the 12 months before the event giving rise to the claim.
- These limits do not apply to your payment obligations, your indemnification obligations, or your breach of Sections 5 or 6.
Some jurisdictions do not allow certain limitations. In those jurisdictions, liability is limited to the fullest extent the law allows.
15Indemnification
By you. You will defend and indemnify ReacherPro and its officers, employees, and agents against third-party claims, fines, and costs, including reasonable legal fees, that arise from: your Customer Data; your outreach and messages; your violation of these Terms, applicable law, or Third-Party Platform terms; or your infringement of anyone's rights.
By us. ReacherPro will defend and indemnify you against third-party claims that the Service, as we provide it, infringes that party's intellectual property rights. This does not apply to claims caused by your Customer Data, your modifications, or your combination of the Service with things we did not provide.
Process. The party seeking indemnity must notify the other promptly, let the other control the defense and settlement, and cooperate reasonably. No settlement may impose obligations on the indemnified party without its consent.
16Changes to these Terms
We may update these Terms from time to time. If a change is material, we will notify you at least 15 days before it takes effect, by email or through the Service. If you keep using the Service after the change takes effect, you accept the updated Terms. If you do not agree, you may cancel your Subscription before the change takes effect.
17General
Entire agreement: These Terms, the Privacy Policy and any order form are the entire agreement between us about the Service.
Assignment: You may not transfer these Terms without our written consent. We may transfer them in connection with a merger, acquisition, or sale of assets.
Force majeure: Neither party is liable for delays or failures caused by events beyond its reasonable control. Examples include internet or hosting outages, Third-Party Platform changes, natural disasters, war, or government action.
Severability: If any provision is found unenforceable, the rest of these Terms remains in effect.
Notices: We may send notices to the email address on your account. You may send notices to [email protected].
Publicity: We may list your company name and logo as a customer unless you ask us not to.
